Debt & Equity Fund Raisings: We raise all types of finance, from securing venture funding for high growth businesses to arranging mezzanine and senior debt facilities for larger corporates. Our strong relationships with a large range of investors – and position in the market – allow us to help build better and stronger investment partnerships.
Mergers & Restructurings: We help clients restructure their businesses, either as part of a merger or in connections with a capital structure optimisation program. With in-house legal and tax expertise, we are able to work quickly & efficiently with other professional advisers to deliver the best outcome.
Fairness Opinions: We provide businesses and their stakeholders with an independent view on valuation. Historically, our reports have provided comfort to lenders and have facilitated transactions.
CORPORATE DEVELOPMENT ADVICE
In addition to our core M&A offering, we are also able to provide clients with Corporate Development advice to help them operationally and strategically. Typically, this is most valuable for small/medium-sized businesses where in-house resources and expertise are naturally more limited. This advice can cover:
Strategy: We are able to work with shareholders to challenge/develop their investment strategies, including thinking about funding and exit. We are also able to leverage our broad commercial and sector experience to input into longer-term operational strategy.
Governance: As companies evolve and grow, it is critical that the relationship between Management and Shareholders is well governed, typically achieved through a Board that meets regularly. We are experienced at helping design and assemble these Boards, as well as helping businesses develop their Board Reports to support better decision making.
Incentivisation: We advise companies on the design, implementation and communication of management incentivisation packages (such as an EMI option scheme) that help retain and reward key employees.
Succession Planning: Leadership transition, particularly the departure of a founding-CEO, requires the consideration of a number of issues (e.g. governance, incentivisation, reporting) and can be difficult to deliver successfully. We are able to support this process and minimise the risks involved.
Although few advisory firms provide Corporate Development advice, we see it is a key part of our overall offering and hugely valuable to clients. By building a long-term relationship with a business and its shareholders, we are better placed to understand its objectives and therefore guide its M&A or transaction strategy. Getting this strategy right from the start is clearly critical to delivering the transaction and securing the best possible outcome for shareholders.
